These terms are governed by the laws of the People's Republic of China, supplemented by the United Nations Convention on Contracts for the International Sale of Goods (CISG) where applicable to international sales. The parties shall first seek to resolve any dispute through amicable negotiation within 30 days. If the dispute cannot be resolved through negotiation, it shall be submitted to arbitration administered by the China International Economic and Trade Arbitration Commission (CIETAC) in Beijing under its then-current rules, or alternatively, by mutual agreement, to the Hong Kong International Arbitration Centre (HKIAC) or the Singapore International Arbitration Centre (SIAC). The arbitration award shall be final and binding.
Any dispute, controversy, or claim arising out of or relating to these terms shall be resolved through the following escalating procedure:
Neither party shall be held liable for any failure or delay in performance caused by events beyond their reasonable control, including but not limited to: acts of God, war, terrorism, civil unrest, epidemic or pandemic, fire, flood, earthquake, port congestion or closure, trade embargoes, government orders, sanctions, or supply chain disruptions. The affected party shall notify the other party promptly and take reasonable steps to resume performance.
The buyer acknowledges that products sold by us may be subject to export control laws and sanctions regulations of the People's Republic of China, the United Nations, and other applicable jurisdictions. The buyer agrees to comply with all such laws and regulations and shall not re-export, resell, or divert the products to any country, entity, or individual subject to applicable sanctions or embargoes. We reserve the right to refuse or suspend any order that may violate applicable sanctions or export control laws.
